Need help setting up an LLC..... - Click HERE for Original Thread

If there are any tax attorneys (I think that's who'd do this) that have experience in setting up an LLC, or possibly a nonprofit (I'm not sure how this would fall), please email me at hondacuraworld@aol.com . Will gladly compensate you for your work :)

I just set up an LLC but I'm in Texas. State laws maybe different from state to state.
I set up mine online at the website of Secretary of State (Texas).

Technically we could do it in Texas, Michigan, or New York, whichever is easiest.

If you set itup in Texas, all you got to pay is $200 and you get it in an hour if you do it online.
You need to create an account with SOS Direct on Sect. of State Texas website first before you can do it online.
You can then print the Cert. of Organization and Articles of Organization.

Don't know what state you're in, but the overall best state to incorporate in (yes I'm including an LLC as a corporate entity) would be Delaware. Second would be Nevada. Third would be your own state.

Delaware is a VERY business friendly state... thus the reason that Delaware has more businesses registered than any other state.

Not sure if you got your help yet. I am not a tax attorney (I do corporate and real estate in Michigan) but I regularly set up LLC and nonprofits in Michigan and would be happy to answer a few basic questions. I am emailing you as well.

You can easily set it up online. Thing is in New York, if it is a business, you have to do the advertisments for 6 weeks in the local paper.

I'll send you a bill.

It may cost more, but I would think that you would want your own local attorney whom you can also call upon as needed.

Years ago when I incorporated I used a local. After that he kept me informed of any changes in state laws that would affect me. At no charge he submitted the yearly report of stockholders to the state.

Whenever I needed legal advise I just picked up the telephone.

If I was to "unretire" and go back into business I would follow the same precedure.

This is just a general follow up. Yes, you can set up an LLC online in many states (in others it usually involves faxing or mailling paperwork). Technically, (at least in many states) filing the LLC paperwork and registering for taxes is all you are REQUIRED to do. If you are the only owner, that generally works OK.

If you have partners/investors, you may want to consider whether you need something else. Whenever I set up LLC, I also draft an "Operating Agreement" which is akin to Bylaws for a corporation and can be quite simple or very complex. Of course, this increases the initial cost but often specifies what will happen with the business in certain circumstances (owners disagree, business needs more money, one owner wants to sell or transfer ownership to family members, etc.). The question is whether you want to decide those answers BEFORE those situations arise (my general advise is yes, if you can anticipate them - some degree of certainty is usually a good thing). Just something to consider.
